Position Summary:
RSF Social Finance seeks to hire a full-time Senior Associate, Legal and Documentation who aspires to apply her/his professional experience and creative capacity in support of RSF's mission and activities. The Senior Associate, Legal and Documentation will be primarily responsible for managing loan transaction logistics and creating loan documents to ensure timely, efficient, and professional documentation and closings. RSF offers commercial mortgage loans, subordinated debt loans, and lines of credit.
Essential Duties & Responsibilities:
1. Draft legal documents for loan transactions that reflect the intentions of the parties and protect RSF's interests and charitable mission
2. Manage loan transaction logistics between Borrowers and RSF to ensure timely, accurate, and professional documentation and closings:
a. File UCC liens
b. Perform corporate background checks
c. Manage mortgage closings, including obtaining title insurance, etc.
3. Provide information, documents, and support to portfolio management and client servicing staff as needed
4. Produce and edit procedures and best practices that are pertinent to loan documentation and operations
5. Review legal documents produced by other parties
6. Participate in credit committee
7. Research lending and federal and state securities law as it applies to RSF
8. Produce and file materials needed to comply with licensing and regulatory requirements
9. Consult with external counsel
10. Assist with special projects as needed
11. Perform other duties as assigned
Knowledge, Skills, and Abilities:
The successful candidate will have:
§ A deep interest in the mission of RSF Social Finance
§ An interest in lending and finance. Ability to read financial statements a plus
§ Familiarity with Medici or similar commercial lending documentation software required
§ Must be able to effectively use standard business software such as Microsoft Word, PowerPoint, and Excel; and to use the Internet for research and information-gathering
§ Must exercise good judgment, with minimal supervision, to manage time effectively, solve significant problems, determine and address RSF's needs, respond appropriately to changing circumstances and priorities, and effectively deal with clients, service providers and other staff
§ Ability to work well under pressure
§ Strong data entry skills and attention to detail
§ Excellent oral and written communications skills (including the ability to communicate complex ideas and legal concepts in a clear and professional manner)
§ The ability to write with precision and in accord with rules of grammar, punctuation and style as befits professional quality prose
§ Strong interpersonal and listening skills
§ The ability to take initiative and to independently make decisions
Education & Experience:
The successful candidate will have:
§ A bachelor's degree (required)
§ A minimum of five years of experience in preparing legal documents, preferably in the area of secured commercial lending
§ Demonstrated familiarity with loan operations procedures
§ Experience preferred in most (though not necessarily all) of the following practice areas: finance, real estate, tax-exempt organizations, and securities law.
